CONSTITUTION & BYLAWS
Flomaton Youth Baseball & Softball Association
(also known herein as “FYBSA,” “FYBS,” or the “Corporation”)
PURPOSE & GOALS
FYSBA is organized exclusively for charitable and educational purposes. The corporation shall provide, without profit, youth baseball, softball, and t-ball activities. The goal of the Corporation is to provide an opportunity for young people to learn the fundamentals of baseball and softball. Through community actions, we can help young people develop into better adults through participation in organized and supervised recreation ball. Objectives within this great sport, include the development of positive social values and character traits, good citizenship, physical and mental well-being, teamwork, work ethic, and a knowledge, appreciation and interest in baseball and softball. The primary goal of this program is that all boys and girls who sign up and try out, be placed on a team and given the opportunity to participate in every game. Additionally, that the welfare of all participants be kept free from any adult ambition or personal glory.
ARTICLE I – DESCRIPTION & FUNCTION
SECTION 1 – COMPOSITION
FYBSA will be generally composed of three (3) Leagues, Baseball, Softball, and T-Ball. FYBSA will have one (1) season, known as Spring Season.
SECTION 2 – BOARD OF DIRECTORS
The Association will be governed by a Board of Directors (The Board). The Board shall consist of not less than five Officers and Directors. Officers will oversee all Leagues and Directors. Directors will oversee each league and season. Officers of the Association, as listed in Article II Section 1 of the Constitution, shall be elected by the Membership at the annual fall meeting.
SECTION 3 – VOTING
No individual shall hold more than one voting position on The Board. The Board may designate that a husband and wife, or domestic partners, not hold separate positions on the board, or the Board may designate that if they do hold two positions on the Board that only one of the positions be a voting position.
SECTION 4 – MEETINGS
The Board will meet at least once annually, in the fall before start of the spring season. A legal act of the Board shall consist of a majority vote of the qualified voters present. A quorum shall consist of 51% of the Board, authorized and present. The President may call any additional meetings as he/she deems necessary.
SECTION 5 – REMOVAL FROM OFFICE
Any member of the Board of Directors may be removed by the Board whenever, in the judgment of the Board, the best interests of the Corporation are served. A two-thirds majority vote of the Board of Directors shall be required for removal of a member of the Board. Failure to attend three consecutive meetings without an excuse shall constitute cause for the removal of a Board member.
SECTION 6 – BOARD VACANCIES
Any vacancy on the Board of Directors may be filled by the Board of Directors at any regular or special meeting of the Board and the person so elected shall serve until the next Corporation election.
SECTION 7 – BOARD SALARIES
No member of the Board of Directors, including any Officer, shall be paid compensation for his or her service to the Corporation.
SECTION 8 – TERM OF OFFICE
Members of the Board of Directors shall be elected for a period of one year, which will begin or end with elections at the annual fall meeting.
SECTION 9 – ELIGIBILITY
To be eligible for nomination, election, or appointment to any official position in the FYBSA a person shall:
  1. Have had a child, grandchild, or stepchild that participated in the previous spring baseball, softball, or t-ball season at FYBSA unless unanimously approved by the Board.
  2. Submit a criminal background check.
  3. Be of good moral reputation in community.
  4. Have no known record of conviction of any felony or of any crime of moral depravity.
  5. Not seek personal financial gain from the use of the person’s position within the organization or through the use of the name of the Flomaton Youth Baseball and Softball Association.
SECTION 10 – AMENDMENTS
Constitution and By-Laws may only be amended at a duly called Association meeting, with a minimum of 7 days notification. A two-thirds majority vote of the membership present is required to amend the Constitution and By-Laws.
ARTICLE II – ORGANIZATION
SECTION 1 – OFFICERS
Officers shall be elected by the membership at the annual fall meeting. Should an office become vacant during the term, the President may appoint a replacement.

Officers shall consist of:
  • President
  • Vice President
  • Secretary
  • Treasurer
  • At Large Members (Minimum 6, Maximum 10)
SECTION 2 – DIRECTORS
Officers and/or Members shall be elected by membership for the following positions at the annual fall meeting.
  • Director of Equipment
  • Parent, Coach, League Liaison
  • Director of Rules & Compliance
  • Director of Social Media and Public Relations
  • Baseball Commissioner
  • Softball Commissioner
  • T-Ball Commissioner
ARTICLE III – BOARD POWERS & DUTIES
SECTION 1 – PRESIDENT
The powers, duties, and responsibilities of the President include, but are not limited to, the following:
  1. Direct and guide the Corporation.
  2. Carry out the will of the members as expressed by a majority vote.
  3. Represent and speak on behalf of the Corporation.
  4. Countersign all contracts, obligations, and checks authorized by the Board.
  5. Sign all contracts and other legal documents executed on behalf of FYBSA.
  6. Preside over all regular and special meetings of the Board.
  7. Supervise the League Commissioners, Directors, and Liaison in the performance of their responsibilities as needed.
  8. Carry out such other duties as requested by the Board.
SECTION 2 – VICE PRESIDENT
The powers, duties, and responsibilities of the Vice President include, but are not limited to, the following:
  1. Assist the President in the performance of his/her duties.
  2. Perform the duties of the President in his/her absence or in the case of vacancy.
  3. Undertake any such other duties assigned by the President.
  4. Coordinate the staff efforts of the Board to ensure an orderly flow of business and information.
  5. Carry out such other duties as requested by the President or the Board.
SECTION 3 – SECRETARY
The powers, duties, and responsibilities of the Secretary include, but are not limited to, the following:
  1. Keep an accurate record of all meetings of the Board and provide each board member with a copy of the minutes from each meeting.
  2. Handle all correspondence for the Corporation, as directed.
  3. Maintain a current list of Board Members and Team Managers.
  4. Carry out such other duties as requested by the President or the Board.
SECTION 4 – TREASURER
The powers, duties, and responsibilities of the Treasurer include, but are not limited to, the following:
  1. Receive and deposit in an account in the name of FYBSA all monies for deposits/disbursement and maintain the Corporation’s checking and savings accounts.
  2. Distribute/ forward monthly bank statements to Officers of the Board to maintain an oversight of the financials.
  3. Keep an exact account of all receipts and expenditures of monies and all monies on hand.
  4. Prepare an accurate and current Treasurer’s report for all Board Meetings. This is defined as a financial sheet including income, expenditures, and year-to-date account balance.
  5. Disburse checks for expenditures approved by the Board. Checks shall be signed by Treasurer and countersigned by the President, Vice President, or Secretary. In the case that two Officers of the Board are married, related, or in a relationship to one another, the Board shall assign an alternate signer. Under no circumstances shall the two signing parties of any check be in one of these relationships.
  6. Pay all bills in a timely manner.
  7. Oversee the financial accounting for the Corporation.
  8. Prepare annual Budget for approval by the board.
  9. Carry out such other duties as requested by the President or the Board.
SECTION 5 – DIRECTOR OF EQUIPMENT
The powers, duties, and responsibilities of the Director of Equipment include, but are not limited to, the following:
  1. Purchase, inventory, issue, and account for all ball-playing equipment provided by the Corporation.
  2. Maintain, repair, and replace equipment as necessary.
  3. Develop and maintain a replacement system for all equipment.
  4. Distribute equipment to all teams and ensure equipment is returned.
  5. Issue Board approved purchase orders. Forward purchase orders and invoices to the Treasurer for payment.
  6. Carry out such other duties as requested by the President or the Board.
SECTION 6 – PARENT, COACH, LEAGUE LIAISON
The powers, duties, and responsibilities of the Parent, Coach, League Liaison include, but are not limited to, the following:
  1. Serve as the initial point of contact for parents and coaches regarding questions, concerns, issues, or disputes.
  2. Settle disputes, as lead arbitrator, on behalf of the Corporation.
  3. Present questions, concerns, or disputes to the Officers and the appropriate league commissioner when required.
  4. Must remain calm, open minded, and fair during all conversations with parents or coaches.
  5. Carry out such other duties as requested by the President or the Board.
SECTION 7 – DIRECTOR OF RULES & COMPLIANCE
The powers, duties, and responsibilities of the Director of Rules and Compliance include, but are not limited to, the following:
  1. Oversee League(s), Coach, Player, and Board compliance with by-laws and rules.
  2. Ensure each League is up to date, and compliant with, the current rules for the League.
  3. Oversee park and league compliance with all-star tournament rules.
  4. Chair the Rules Committee of representatives from each league.
  5. Bring all recommendations for changes of rules before the Board for vote.
  6. Obtaining background checks for all prospective coaches and board members.
  7. Provide interpretation of all rules, as requested.
  8. Carry out such other duties as requested by the President or the Board.
SECTION 8 – DIRECTOR OF SOCIAL MEDIA & PUBLIC RELATIONS
The powers, duties, and responsibilities of the Director of Social Media and Public Relations include, but are not limited to, the following:
  1. Promote the FYBSA by maintaining and updating its social media pages to include announcements, advertisements, and celebrations.
  2. Plan, coordinate, and promote public relations projects and fundraising efforts for the FYSBA.
  3. Update, or cause to update, important information on the FYSBA web site in a timely manner.
  4. Input team schedules and standings on the league web site weekly throughout the season.
  5. Create, maintain, and post a yearly calendar of events.
  6. Arrange for advertisement through multiple outlets (i.e. newspaper, social media, radio, etc.) for tournaments and other park activities, to include player registration.
  7. Carry out such other duties as requested by the President or the Board.
SECTION 9 – BASEBALL COMMISSIONER
The powers, duties, and responsibilities of the Baseball Commissioner include, but are not limited to, the following:
  1. Designate head coaches of each age group in baseball.
  2. Direct player tryouts, facilitate baseball draft, and oversee player selection.
  3. Facilitate background checks on baseball head coaches and assistant coaches.
  4. Oversee all-star selection process to include designation of head coaches, completion of rosters, obtain medical waivers, and tournament preparation as necessary.
  5. Encourage and exhibit good sportsmanship on and off the playing field.
  6. Communicate with managers on relevant park rules, game rules, and tournament rules.
  7. Develop and coordinate practice time and field schedule.
  8. Develop and coordinate game schedule.
  9. Resolve minor concerns and conflicts and refer major issues to the Parent, Coach, League Liaison.
  10. Process game protests.
  11. Ensure coach and team participation in game field upkeep.
  12. Carry out such other duties as requested by the President or the Board.
SECTION 10 – SOFTBALL COMMISSIONER
The powers, duties, and responsibilities of the Softball Commissioner include, but are not limited to, the following:
  1. Designate head coaches of each age group in softball.
  2. Direct player tryouts, facilitate baseball draft, and oversee player selection.
  3. Facilitate background checks on softball head coaches and assistant coaches.
  4. Oversee all-star selection process to include designation of head coaches, completion of rosters, obtain medical waivers, and tournament preparation as necessary.
  5. Encourage and exhibit good sportsmanship on and off the playing field.
  6. Communicate with managers on relevant park rules, game rules, and tournament rules.
  7. Coordinate with Flomaton High School softball coach on field availability.
  8. Develop and coordinate practice time and field schedule.
  9. Develop and coordinate game schedule.
  10. Resolve minor concerns and conflicts and refer major issues to the Parent, Coach, League Liaison.
  11. Process game protests.
  12. Ensure coach and team participation in game field upkeep.
  13. Carry out such other duties as requested by the President or the Board.
SECTION 11 – T-BALL COMMISSIONER
The powers, duties, and responsibilities of the T-Ball Commissioner include, but are not limited to, the following:
  1. Designate head coaches of each age group in t-ball.
  2. Direct player tryouts, facilitate t-ball draft, and oversee player selection.
  3. Facilitate background checks on t-ball head coaches and assistant coaches.
  4. Encourage and exhibit good sportsmanship on and off the playing field.
  5. Communicate with managers on relevant park rules, game rules, and tournament rules.
  6. Develop and coordinate practice time and field schedule.
  7. Develop and coordinate game schedule.
  8. Resolve minor concerns and conflicts and refer major issues to the Parent, Coach, League Liaison.
  9. Process game protests.
  10. Ensure coach and team participation in game field upkeep.
  11. Carry out such other duties as requested by the President or the Board.
ARTICLE IV – GENERAL PARK RULES
SECTION 1 – GAME POSTPONEMENT
The decision to postpone games for that day shall be made by no later than 3:00pm and will be made by the President, Park Duty Officer, or the League Commissioner. In the event none of these directors or officers is present, any attending Board Member will make the decision. The primary responsibility resides with the Park Duty Officer. After commencement of games, the umpires will make the decision. Appropriate time must be allowed from the time the game is stopped before the umpires terminate the game.
SECTION 2 – RAIN DELAYS
In the event of a rain delay during the first game, that game will be completed, if possible and, if necessary, the second game will be rescheduled.
SECTION 3 – GAME SCHEDULES/RESCHEDULING
The League Commissioners will be responsible for scheduling and rescheduling games.
SECTION 4 – CALLED GAMES
Games called due to time limit shall be considered regulation, regardless of the number of innings played. If a game is called before it becomes regulation, it shall be the League Commissioners decision to reschedule or not. Rescheduled games must be resumed from the point of termination with the same line-up.
SECTION 5 – PROTEST
All protests for regular season league play will follow official rules for the affiliated baseball or softball league, except that the written protest will be submitted to the League Commissioner, President, or Vice President with a protest fee of $100.00. For the written protest to be filed in a timely manner, it must be filed within 48 hours and accompanied by the $100.00. Said protest fee will be refunded if the protest is found in favor of the protesting team.
SECTION 6 – PROTEST COMMITTEE
The protest committee will consist of the League Commissioner (unless there is a conflict), Director of Rules and Compliance, Parent, Coach, League Liaison, and the remaining head coaches from the league (unless there is a conflict). Any action by the protest committee may be appealed by the effected Head Coach, in writing to the Board of Directors, within 48 hours of notice of the protest committee's decision. The decision of the Board of Directors is final unless the decision is appealable to the affiliated organization.
SECTION 7 – PLAYER PARTICIPATION
All FYBSA recreational teams shall bat the entire roster during regular season league play to ensure playing time for all players during their team’s games. Every reasonable and practical effort shall be made to satisfy the rule; however, it is understood that certain exceptions such as weather cancelation, run rule, etc. may affect the implementation of this policy. If protested, the Protest Committee shall consider such exceptions. A winning team in violation of this rule will forfeit the game in question if protested. A losing team will forfeit its next winning game. This rule does not apply to tournaments sanctioned by, or governed by, other organizations, the district director, or any tournament held outside of FYSBA Rules (i.e. all-star tournament).
SECTION 8 – FREE SUBSTITUTION
Where applicable, free substitution is allowed. This allows players who leave the game for substitute players to reenter the game; however, this does not allow changes to the batting order with a full roster batting order established before the start of the game. Pitchers shall follow the affiliation rules (i.e. Cal Ripken) for pitcher substitution.
SECTION 9 – LEAGUE CHAMPION
The league champion will be determined by the overall win/loss record of the teams. The League Commissioner will be responsible for maintaining an accurate record of the wins and losses of each team in their league and will inform the Board of the winner for each league. In case of a tie the determination of the winner may be made by head-to-head record, common opponent, or playoff game. In the case of time restraints, the League Commissioner may, with agreement of both head coaches, reach an agreement on the League Champion.
SECTION 10 – SPORTSMANSHIP
It is understood that coaches, players, and parents will make mistakes in their handling of situations on occasion and that strong reactions to decisions, mistakes, and calls will, inevitably, occur during games. However, the Board WILL NOT tolerate ANY repetitive or persistent unsportsmanlike behavior. Foul language directed at players, parents, fans, coaches, umpires, or board members, whether on the field or off the field, will be grounds for action to be taken by the Board on the offender. Conduct that may precipitate fights or physical confrontations, will be grounds for action to be taken by the Board on the offender. The Board holds the Head Coaches ultimately accountable for the conduct of their team’s fans, players, and assistant coaches.
SECTION 11 – COACHING STAFF
There will be a max of three (3) coaches for baseball and softball. There will be one (1) head coach and two (2) assistant coaches. There will be a max of four (4) coaches for T-Ball. There will be one (1) head coach and three (3) assistant coaches.
ARTICLE V – LEAGUE RULES
SECTION 1 – BASEBALL LEAGUE RULES
The park rules of each league will be as follows:
  • Baseball League — Refer to Babe Ruth Rules
SECTION 2 – BASEBALL DRAFT
The draft rules will be as follows:
  • Commissioners will rate players at tryouts.
  • We will draw straws for the order of draft selection.
  • You will only be able to “freeze” four (4) players. Of those four (4) players, a coach’s kid(s) must be included within the four (4).
SECTION 3 – SOFTBALL LEAGUE RULES
The park rules of each league will be as follows:
  • Softball League — Refer to USSSA

  • Commissioners will rate players at tryouts.
